Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you (“you” or “Customer”) and Image SEO System (“we,” “us”). If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Service

Image SEO System uses artificial intelligence to generate SEO-optimized alt-text for product images and to apply approved alt-text to connected Shopify and WooCommerce stores. We may modify, enhance, or discontinue features over time.

3. Accounts & Eligibility

You must be at least 16 years old and provide accurate registration information. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Plans, Billing & Renewals

• Paid plans (Starter, Pro, Agency) are billed in advance on a recurring basis through our payment processor, Stripe.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
• You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period.
• Fees are exclusive of taxes, which you are responsible for where applicable.
• Plans include usage limits (for example, images processed per month and number of connected stores). Exceeding limits may require an upgrade.

5. Free Trial & Money-Back Guarantee

We may offer a free trial with a limited number of image scans. Paid plans are covered by our 14-day money-back guarantee, described in our Refund Policy.

6. Acceptable Use

Your use of the Service must comply with our Acceptable Use Policy. We may suspend or terminate accounts that violate it.

7. Store Connections & Customer Data

To provide the Service, you authorize us to access your connected store via its API using the credentials you supply, and to read and write product image metadata (such as the alt attribute). You represent that you have the right to grant this access and to have the content processed. Our handling of data is described in our Privacy Policy.

8. AI-Generated Content

Alt-text is generated by AI and provided as a suggestion for your review. You are responsible for reviewing and approving content before it is published to your store. We do not warrant that generated content is accurate, complete, or will improve search rankings, traffic, or sales.

9. Intellectual Property

We retain all rights in the Service, including its software, design, and trademarks. You retain rights in your store content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service. As between you and us, alt-text generated for your products is yours to use.

10. Third-Party Services

The Service integrates with third parties (including Shopify, WooCommerce, OpenAI, and Stripe). Your use of those services is governed by their own terms, and we are not responsible for them.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or if necessary to protect the Service. Upon termination, your right to use the Service ceases.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted with an updated date and, where appropriate, additional notice. Continued use after changes take effect constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws rules. The courts located in [Jurisdiction] will have exclusive jurisdiction over any disputes, except where prohibited by applicable law.
